Computers and Your Health

Can spending too much time in front of a computer lead to certain health problems? What are the risks involved?

Experts say anything in excess is bad. The same is true with computers. Using them for long periods daily can lead to eyestrain, fatigue, dizziness, headaches and a host of other health problems.

This was revealed by Dr. Arthur Frank pf the Mt. Sinai School of Medicine who studied problems associated with the computer screen and keyboard machines.

Frank's two-and-a-half-year study of computer users covered more than a thousand employees of the United Press Inter¬national, the Associated Press and newspapers in St. Louis, Memphis, Toronto, Vancouver, Honolulu and New York City.

Compared to non-users, Frank said computer users suffered more from blurred vision, eyestrain, neck, shoulder and low back pain. Those who worked more often with computers were also more irritable, had trouble sleeping and felt overworked than other employees.

Repetitive strain injuries (RSI) are also becoming common with computer workers. This is characterized by swollen fingers, aching wrists, and disabling hand, arm and neck pain.

"Disturbing as these reports may be, many of the hazards associated with computer use can be prevented," according to Martin Wong, a technical consultant for Distributed Processing Systems Inc.

"By learning the most common causes of computer distress and making some basic changes to their work place and work habits, most people can avoid joining the growing ranks of casualties of the computer revolution," Wong added.

To prevent computer-related problems, Wong suggests the following:

Work in a comfortable position where everything you need is easy to reach.

When working continuously at the computer, take a 15-minute break every hour.

Don't exceed 10,000 to 12,000 keystrokes (roughly 1,700 words) per hour.

When looking at documents, use a copy stand. Make sure the document you're looking at is as high as your computer screen.

Glare reflected from the screen can quickly lead to eyestrain. To cut the glare, Consumer Reports said you should:

Arrange your work space so that neither your eyes nor the screen face directly into a window or a bright lamp.

Arrange the lighting so it's directly over the computer.

Timberlake is an advocate for the hospital and participates in the weeklong golfing and concert event in Las Vegas with all proceeds going to the Hospitals. Top 10 Tips Before Traveling Overseas

1. Travel Insurance

3. Make sure passport is valid for more than 6 months

We always have the following medication whenever we travel: - flu and fever - diarrhoea and stomach pain - dizzy / nausea - jet lag - plaster for cuts - oil for sprain, muscle ache

Never check-in your medication. If the airline has a limit on the amount of fluid to bring up (e.g. 100ml), check with the airline what can be done if you are dependant on the fluid medication.

In some countries, it is important to get vaccinated. Check with your family doctor at least 3 months before your trip as some vaccine needs a period of 1 - 2 weeks before it is effective.

5. Emergency numbers in the country / embassy

In case of emergency in the country, do you know whom to contact? It is always important to have your embassy / consulate address and phone number with you.

6. Take note items in luggage or take a photograph

If one of your luggage is lost, do you know what are the items inside before you claim from the airline or insurance? Take note of the items, or better still, take photos of the item in each luggage.

The FVPF reports that women who are victims of domestic violence are 80 percent more likely to have a stroke, 70 percent more likely to suffer from heart disease, 60 percent more likely to have asthma, and 70 percent more likely to drink heavily than women who have not been exposed to partner violence.

And it doesn't stop there. Domestic violence can have a devastating impact on reproductive health, adding to the likelihood of miscarriages, and has been linked to the prevalence of risky sexual behavior and sexually transmitted diseases such as HIV, according to AARDVARC.org, a non-profit organization dedicated to combating family and relationship violence.

The FVPF estimates that intimate partner abuse, rape, and stalking costs the medical and mental health services industry $8.3 billion annually in direct healthcare costs, in addition to the cost of lost productivity at work.

While domestic violence may raise certain mortality concerns, some say there isn't enough evidence for insurers to cancel or deny a policy, create exclusions or charge a higher premium based on that fact.

Kim McKeown, spokesperson for the Society of Actuaries (SOA) says that in some states there are no laws on the books or limited protections involving adverse actions against domestic violence victims, but it's highly unlikely that an insurance company would take such a position.

"We haven't seen or heard any evidence of underwriting domestic violence as a pre-existing medical condition in the life insurance market," says McKeown. "It is allowed in 14 states, but it's our understanding that it's not being applied by insurers and that very few insurers would take that approach."

Other insurance experts agree.

"It wouldn't be considered a "pre-existing condition" per se, but it may factor into the underwriters thought process as it pertains to a final rate class," says Ryan Pinney, brokerage director for Pinney Insurance Center, Inc. in Roseville, Calif. "However, this would be hard to substantiate and even harder to identify, if in fact, it had influenced the underwriting decision. This is because your typical underwriter has a series of underwriting guidelines that they must follow when making an underwriting decision."

Pinney adds that most insurance carriers follow two primary reinsurance manuals.

"The most popular are Suisse Re and Gen Re's versions of these. We have copies of both and "domestic violence" isn't listed as an underwriting criteria that can or would cause any kind of rating," Pinney says. "This leaves only the personal opinions and decision making ability of the actual underwriter to first, identify a problem; second, determine that it may lead to increased mortality; and finally, find some other "ratable" reason to increase the underwriting class or decline coverage. I don't think this is likely and to my knowledge it has never occurred with us or our clients."

Also, Pinney notes that an insurer would have to provide the applicant with a reason for the decline or reduction in health class.

"I've never had this situation come up," says Jack Dewald, chair of the LIFE Foundation, and president and owner of Agency Services, Inc., a life and health brokerage in Memphis, Tenn. "The only possible reason a history of domestic violence could become an underwriting concern is if the fallout resulted in a mortality issue such as a serious long-term injury. It would be the injury itself and not how that person sustained it."

Dewald adds that it's doubtful that a victim would admit to domestic abuse on an insurance application for fear of reprisal.

"An insurer would only be aware of domestic abuse if it showed up on the individual's medical records where the doctor indicated that he or she suspected domestic violence and called the authorities, otherwise this isn't something a life underwriter would look for," says Dewald.

History

In 1994, Charles Schumer, a former New York Representative, surveyed 16 insurance companies and learned that eight companies in the health, life and disability lines of insurance, denied policies for women who had been victims of domestic violence.

In 1995, the Boston Globe reported that nine major insurers canceled or denied coverage to women based on a history of domestic abuse.

Following reports of this practice in the media, the National Association of Insurance Commissioners issued the Unfair Discrimination Against Subjects of Abuse in Life Insurance Model Act or MDL-896 that specifically outlines prohibitions regarding unfair discrimination by life insurance professionals on the basis of abuse status.

Still, since the NAIC has no regulatory authority over business practices in the insurance industry, the states would have to adopt the model for it to become law, says Vanessa Sink, spokesperson for the NAIC.

"Each state regulates insurance individually. The act must be adopted by the state legislature for it to become state law - before it can be enforced by the state department," says Sink. "Also, a state may already have a law that covers domestic violence as a pre-existing condition or have handled the regulation in another way. The states are not required to adopt an NAIC model."

Connecticut, District of Columbia, Kentucky, Idaho, Louisiana, Mississippi, Nevada, North Carolina, Oklahoma, South Carolina, South Dakota, Tennessee, Vermont and Wyoming do not have laws prohibiting insurance discrimination on the basis of domestic violence in the life insurance market, according to the National Network to End Domestic Violence, an advocacy group concerned with ending domestic abuse.

North Carolina introduced a statute that bans the use of domestic violence as a pre-existing medical condition in individual and group health insurance plans on March 1, 2010.

"We maintain that NCDOI does not consider domestic violence to be a pre-existing condition; it doesn't meet our statutory definition of a medical condition so it could not be considered a pre-existing condition in any policy including disability and life insurance. Our same arguments from last fall and our regulatory oversight and interpretation of North Carolina's insurance laws would not change," says Kristin Milam, a spokesperson for the North Carolina Department of Insurance.

"This practice is prohibited for specified health products and can be found in the unfair trade practice 38a-816(18). The statute applies to various types of health coverage, such as major medical, HMO coverage, hospital and medical-surgical coverage. However, the law does not apply to life insurance or disability insurance," says Connecticut Insurance Department spokesperson Dawn McDaniel. "Me or my colleagues are not aware of any complaints related to this topic."

The Vermont Department of Banking, Insurance, Securities and Health Care Administration (BISHCA), doesn't have laws in place that explicitly prohibit domestic violence discrimination in health, disability and life insurance, but Michael Bertrand, Deputy Commissioner of Insurance, says that the department does have laws that prohibit any rating practice that is discriminatory and domestic violence would fall under that prohibition.

"We have never seen an application that deals with domestic violence and if we ever saw something like that, we would never allow it," says Bertrand.

If you believe your insurance application was denied because of domestic abuse in the past, there are some steps you can take to remedy the situation.

"They should talk to the insurance regulator in their state or speak with a consumer advocate. Most departments of insurance have offices where consumers can file complaints, "said Nancy Durborow, specialist for the National Network to end Domestic Violence." "Mississippi Flyway" by Nel Rand: Book Review

First time novelist Nel Rand hits a home run with "Mississippi Flyway". The book caught my attention from the first page and kept it right through to the last page. It is rich with Southern culture and adventures along the Mississippi Flyway (the path along the Mississippi River that birds fly each season). I honestly felt like I was part of the adventure riding in the Bunny Bread truck with Ellie Moon and her Dad, the not so "Tiny" Moon. I also completely related to Ellie's early life as a young Catholic child brought up on a diet of good ole' Catholic guilt!

The story begins with scenes from Ellie's childhood and the traumatic experiences she endures that eventually lead to repressed memories. Ellie's early experiences, full of abuse, addiction and the early death of her sister Rose, set her up for a lonely and empty life as an adult.

Move forward to Saint Louis in 1967 where Ellie is an unemployed, recently divorced 31 year old still being incessantly nagged by her mother and you have a woman who is definitely ripe for an adventure. That's where her wanderer father, a notorious gambler and conman, walks in after 20 years and offers to take Ellie on a road trip. She quickly accepts and begins the adventure of a lifetime.

The adventures for Ellie happen on two levels - the trip where her father is being pursued by the nasty piece of work Sheriff Dover and the internal struggles that she has with her subconscious to remember what happened to her as a child. I experienced a real sense of the South as it was in 1967 as Ellie and Tiny are pursued by Dover to Kentucky and gambling at Miss Ludine's, onto the backwaters of the Mississippi to an illegal moonshine distillery, to the wild eating contest in colorful Memphis, concluding with a Voodoo ceremony in New Orleans. All through this, Ellie is struggling with her feelings about Tiny's abandonment when she was a child, her sister Rose's death 10 years earlier and the memories that are starting to resurface. She realizes that it's okay to let them out now because she is strong enough to deal with it, and that she must face them to move on with her life. "Mississippi Flyway" ends with Ellie learning just how much compassion and forgiveness she is capable of.

I thoroughly enjoyed this book and highly recommend it to anyone looking for a great weekend read. But be forewarned, don't pick this up before bedtime and expect to go to sleep early.

2007 Altima Hybrid, Nissan's First

All-new Nissan Altima, classified as an Advanced Technology-Partial Zero Emissions Vehicle (AT-PZEV), is the automaker's first entry into the hybrid vehicle segment. Said vehicle made its debut at the 2007 Model Orange County Auto Show in Anaheim, California. The auto show has started last October 4. It is expected to end on the 8th of this month.

The powertrain of Nissan Altima Hybrid mates the 2.5-liter 4-cylinder engine and electronic Continuously Variable Transmission (eCVT) with an electric motor and generator that increases fuel economy while maintaining low tailpipe emissions. As a fact, its net power with fuel economy is estimated at 41/36 mpg city/highway. For this reason, critics are saying that Altima Hybrid can very compete with Toyota Camry at 40/38 mpg city/highway. Altima Hybrid's 20-gallon tank is estimated to accommodate a 700-mile drive.

Altima hybrid offers style, comfort, convenience and power. It features the four-cylinder engine of Altima but it was blended to an electric engine that is capable of producing 198 horsepower. Features also include quality Nissan parts to alleviate fuel economy and lessen emissions. Other factors that support enhanced gas mileage include automatic transmission and continuously variable transmission.

Altima Hybrid will be available in early 2007 at 8 states only. Purchases will be entertained after the introduction of the 2007 Altima 2.5-liter 4-cylinder and 3.5-liter V6 gasoline-powered vehicles.

Compassion for the environment coupled with passionate driving is Alma Hybrid's charm. These reasons are expected to make it rule in its segment. Moreover, said model also exudes expressive styling in both its exterior and interior parts. The vehicle is also certified to meet the requirements of California emissions rules.

Nissan Altima Hybrid is the latest environmental automotive initiative from the automaker. It can be recalled that Nissan was the first to introduce a partial zero emission vehicle (PZEV) - Sentra. This time around, Nissan flaunts its new pride by the name Altima Hybrid.

Does not require a model agreement on trade

This article is a warning against the blind use of legal forms, or templates, for developing buy-sell agreements. Parties to each and every buy-sell agreement need to take time to agree on the key business and valuation aspects of their agreements, then have a qualified attorney (who can also be involved in reaching agreement) draw up the document.

What could be simpler? All the parties have to do is to agree on the events that "trigger" the buy-sell agreement, on who buys stock, and on the pricing and terms of the purchase. Also, it is helpful if the funding for the transaction is specified, as well. The problem is, if my experience is any indication, these things are almost never agreed to at the level at which it is necessary for the shareholders to understand what will happen when their buy-sell agreements are triggered by the quitting, firing, retiring, death, disability, divorce, etc. of a shareholder.

Keep in mind that I am not a lawyer and do not draft buy-sell agreements. I am, however, a business appraiser who has seen hundreds of buy-sell agreements as part of our normal valuation practice - too many of which after failed valuation processes when litigation has already ensued. As such, I read and interpret buy-sell agreements from business and valuation perspectives in the normal course of my business and I can say that relatively few of them address the basic questions in unambiguous terms. Could this be because, in part, too many people rely upon standard forms rather than doing the sometimes difficult work of sitting down together to agree to the key business and valuation issues?

Over the 2009 New Year holidays, I did some fairly unscientific research. I Googled the terms "buy-sell agreements" and "buy-sell agreement forms." In searching quite deep into the rankings, six forms were found that were available on-line and free. There are numerous sites that charge for buy-sell agreement forms, and others that claim to offer templates "for free," but require a "membership" to access them. At another time, I'll set a budget and go form-shopping to see if the results are different. Of the six free templates found, I noted the following:



A cross-purchase agreement.

One was a cross-purchase agreement template calling for each of two shareholders to purchase life insurance on the life of the other. They had to agree on value periodically. Did I say that shareholders almost never do this? There was no other pricing mechanism.



A (valuation) process agreement.

This template addressed only death and termination of employment and no other trigger events (e.g., divorce or disability). The pricing mechanism read as follows:

"Unless the parties agree to another price in writing, the price for each share of capital stock shall be equal to its fair market value as an ongoing business concern as determined in the sole discretion of the company's Certified Public Accountant (CPA), and such determination shall be binding and conclusive upon the parties hereto."

"Fair market value" is generally thought to be a defined term among business appraisers, but what if the company's CPA is not an appraiser? The definition above leaves open to the sole discretion of the CPA, who may not be qualified as an appraiser, as to whether valuation discounts, such as minority interest or marketability discounts, should be considered and/or applied in the determination of price. Would you want an unqualified CPA making such decisions? Would he or she want to make them?

This agreement also had a deadlock provision in the event that the parties could not agree on the company's CPA. In that event, the shareholder's estate and the company would each select a CPA, the two of which would select a third CPA. The price would be the average of the three conclusions. Note that there is no requirement that the other CPAs be business appraisers or have appraisal credentials.

It was not clear whether the life insurance the company might purchase (at its election) should be considered to be a corporate asset (and added to value in the determination of price) or as a funding mechanism only, and not added to value. The CPA would, in his or her sole discretion, have to make that decision.

This agreement, if implemented, would be a disaster waiting to happen.

A corporate buy-sell agreement.

This agreement template suggested either an agreed value, or a formula value, but only blanks for the formula were provided. The most likely valuation mechanism was then defined:

"Purchase Price in Lieu of Establishment of Current Agreed Value. In the event the Shareholders do not establish an Agreed Value for more than two (2) years prior to the Date of Death or Withdrawal or Date of Occurrence, then the Agreed Value shall be calculated by an independent Certified Public Accountant acceptable to a majority of the shareholders. The accountant shall determine the fair market value of the Stock as of the Date of Death or Withdrawal or Date of Occurrence, as appropriate, by whatever means he deems appropriate. This fair market value shall then become the Agreed Value. The accountant may apply whatever discounts he believes appropriate, including discounts for lack of marketability. The fees and expenses of the accountant shall be paid by the Company." (emphasis added)

Should the CPA have appraisal credentials? Is the appropriate "fair market value" that of the entire company or of just the interest in the company subject to the agreement? Note that a minority shareholder subject to the agreement might have no say whatsoever in the selection of the CPA, since the selection will be determined by a majority of the shareholders by number. If there are at least three shareholders, this situation could easily occur.



A right of first refusal.

Another agreement template entitled "Buy-Sell Agreement Between Stockholders" was nothing more than an onerous right of first refusal and was not a buy-sell agreement at all.



A public company voting trust.

The last free buy-sell agreement template found involved the creation of a voting trust of a presumably public company. The pricing for transactions pursuant to the agreement was the average of the opening and closing prices on the specified notification date. There were voting and nonvoting shares. The agreement did specify that there would be no differential in pricing between the two types of shares.

There's an old saying: "There's no such thing as a free lunch." My search for buy-sell agreement template language would suggest that there's no such thing as a free and workable buy-sell agreement form. Perhaps the forms that carry a price are better. Those ranged from $2.99 to $79.00. Given this pricing, keep in mind another saying: "You pays your money and you takes your chances."

In conclusion, if the shareholders agree on the pertinent business and valuation points, any experienced business attorney should be able to reflect that appropriately in the buy-sell agreement. My business and valuation advice is straightforward. Do not blindly use any template when creating a buy-sell agreement. Rather, get agreement on critical issues and then modify whatever form is used to reflect the actual agreement of the parties. And in the likely event that you have a buy-sell agreement and don't know the answers to the basic questions mentioned above, now would be a good time to convene a meeting of the shareholders to consider revising the buy-sell agreement.
